Terms of Service

These Terms of Service govern your use of the DutiesBook™ omnichannel communication platform operated by Andromeda Information Technology Co ("Andromeda IT", "we", "our", or "us"), a Saudi Arabian company. By accessing or using our service, you agree to be bound by these Terms.

1. Agreement to Terms

By accessing DutiesBook™ (operated by Andromeda IT, a Saudi company), users agree to these Terms of Service. If you do not agree, you must not use the service.

2. Service Description

DutiesBook is a multi-channel communications platform enabling businesses to manage customer conversations across WhatsApp Business API, Facebook Messenger, Instagram Business Messaging, Apple Messages for Business, email, and Live Chat, with automation, broadcasting, and analytics features.

3. Eligibility and Account Registration

Users must be 18+, legally competent to enter contracts, and not prohibited by law. Accounts require accurate information, password confidentiality, and user responsibility for all account activity. The company reserves verification rights and may suspend accounts failing verification.

4. Acceptable Use Policy

Permitted: business communication, marketing with explicit consent, automation, and lawful integrations.

Prohibited: spam, harassment, malware, IP infringement, illegal activity, impersonation, system interference, and any violation of third-party platform terms.

5. Meta Platform Compliance

Users must comply with Meta's Developer Platform Terms regarding WhatsApp Business API, Facebook Messenger, and Instagram Business. Prohibited practices include discriminatory processing, eligibility decisions, law-enforcement surveillance, data sales, unauthorized profiling, and re-identification attempts.

6. Third-Party Platform Compliance

Users must comply with the policies of every connected third-party platform, including Facebook Messenger, Instagram Business, WhatsApp Business API, Apple Messages for Business, and email services (CAN-SPAM, GDPR, and equivalents).

7. Service Level Agreement

  • 99.9% uptime guarantee (excluding scheduled maintenance with 24+ hour notice).
  • Standard message delivery times.
  • Regular backups and security protocols.
  • Technical support during business hours plus emergency support.

8. Pricing and Payment

Monthly or annual billing options based on usage and message volume. Payment due at subscription renewal via credit card or bank transfer. Late fees may apply. Mid-cycle plan changes are prorated. Tax is calculated according to business location.

9. Data Ownership and Privacy

Users retain ownership of their customer data. The company processes only the data necessary to deliver the service. Users may request secure data export at any time and data is deleted upon account termination per the Privacy Policy. The company owns platform improvements, anonymized analytics, and underlying intellectual-property rights.

10. Intellectual Property

Andromeda IT owns all platform software, designs, trademarks, documentation, and proprietary algorithms. Users retain their content, branding, and pre-existing intellectual property. A limited, non-exclusive license is granted for the duration of an active subscription; all rights terminate upon account closure.

11. Warranties and Disclaimers

The service is provided "AS IS" without warranties of merchantability or fitness for a particular purpose. The company does not guarantee third-party platform availability, internet stability, or error-free operation.

12. Limitation of Liability

The company is not liable for indirect, incidental, or consequential damages, lost profits, or data loss. Aggregate liability is capped at amounts paid in the prior 12 months, except for cases of gross negligence, fraud, or death.

13. Indemnification

Users indemnify the company for claims arising from their violations, content, intellectual-property infringement, or breaches of law. Users specifically indemnify the company regarding Meta data violations and Meta's claims.

14. Term and Termination

This agreement starts at account creation, continues unless cancelled, auto-renews, and terminates at the end of the billing cycle. Either party may terminate with 30 days' notice, or immediately for material breach, insolvency, or legal requirement. Post-termination: 30-day data-export window, final invoice issued, confidentiality persists.

15. Dispute Resolution

These Terms are governed by Saudi Arabian law. Disputes are resolved through (1) direct negotiation, (2) mediation by the Saudi Center for Commercial Arbitration (SCCA), (3) binding arbitration by SCCA, and (4) Saudi courts for non-arbitrable matters.

16. General Provisions

The company may modify these Terms with reasonable notice (30 days for substantial changes); continued use constitutes acceptance. No assignment is permitted without written consent. Severability and force-majeure clauses apply. These Terms together with the Privacy Policy form the complete agreement between the parties.
